no difference in meaning.. but i'd use WARN if I'm talking about sharks.
in fact, here's what I would say instead:
JUST A HEADS UP - there's sharks around here. (we don't say "i'm giving you a heads up", we say JUST a heads up)
or:
hey WATCH OUT, there's sharks around here
